I believe as long as you don't distribute it with the changes and say you made all of it it's ok. It's a good theme to start on I say, it looks like it wouldn't be too hard to modify it to fit your needs. Good job
It has potential but elements look a little incomplete to me. The colours are far to bright IMO however I like what you have done with the navigation area also the statusicons of the forums could do with being changed to something a little more unique. All in all pretty good but could do with being improved just my 2 pence worth.
Oh okay, yea if the owner is okay with than there should be no problem. They are always ok with it most of the time if you leave their copyright.
Just an FYI: Because of the license, you are free to modify it for personal use but if you distribute it, you need to retain the copyright, and also attempt to seek permission. Either way, it's good practice to ask, and always retain any copyrights already there, but to include your own alongside the original authors
The only thing that bothers me is the color. It's not that easy on the eyes, and the banner of the women is a bit to dark.
